These Terms and Conditions of Sale ("Terms") govern all purchases of products from Trunwell, Inc. ("Trunwell," "we," "our," or "us"). By placing an order, creating an account, or purchasing products from Trunwell, Inc., the purchaser ("Customer") agrees to be bound by these Terms.
1. Orders
All orders are subject to acceptance by Trunwell, Inc. We reserve the right to refuse, limit, or cancel any order at our sole discretion.
2. Pricing
Prices are subject to change without notice.
Pricing errors may be corrected at any time prior to shipment.
3. Payment Terms
Payment is due in accordance with the terms approved for Customer's account. Failure to make timely payment may result in delayed shipments, suspension of credit privileges, cancellation of pending orders, and collection costs where permitted by law.
4. Shipping and Risk of Loss
Delivery dates are estimates only.
Risk of loss transfers to Customer upon delivery of the products to the carrier unless otherwise required by applicable law.
5. Inspection of Goods
Customer shall inspect all shipments promptly upon receipt and notify Trunwell, Inc. of any shortages, shipping damage, or defects within five (5) business days after delivery.
Failure to provide timely notice constitutes acceptance of the shipment.
6. Returns
Returns require prior written authorization from Trunwell, Inc.
Returned merchandise may be subject to inspection and a restocking fee.
Special-order, custom, discontinued, or clearance products are not returnable unless required by law.
7. Limited Warranty
Products are covered only by the warranties expressly provided by Trunwell, Inc. or the applicable manufacturer.
Except as expressly stated, all other warranties, including implied warranties of merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.
8. Authorized Reseller and Online Sales Policy
8.1 Authorized Sales Channels
Products purchased from Trunwell, Inc. may be sold only through:
Customer's own physical retail locations;
Customer's independently owned retail website;
Customer's approved wholesale distribution channels; or
Other sales channels specifically approved in writing by Trunwell, Inc.
8.2 Prohibited Third-Party Marketplace Sales
Unless expressly authorized in writing by Trunwell, Inc., Customer shall not advertise, offer for sale, sell, distribute, fulfill, or otherwise make available any Trunwell products through any third-party online marketplace.
This prohibition includes, without limitation:
Amazon
eBay
Walmart Marketplace
Etsy
Target Plus
Facebook Marketplace
Google Shopping Marketplace
Temu
Wish
AliExpress
Newegg
Overstock
Sears Marketplace
and any similar online marketplace, shopping platform, marketplace app, or future marketplace.
This restriction applies regardless of whether Customer is the seller of record, utilizes a third-party fulfillment service, or sells through another person's or entity's marketplace account.
8.3 Customer-Owned Retail Websites
Customer may advertise and sell products on its own independently owned retail website.
Products shall not be advertised or offered below the current Manufacturer's Suggested Retail Price (MSRP), unless otherwise expressly authorized in writing by Trunwell, Inc.
8.4 Wholesale Websites
Authorized wholesale distributors may display discounted pricing only when all of the following conditions are satisfied:
Access is limited exclusively to approved business customers.
Customers must log in using secure credentials before pricing is displayed.
Wholesale pricing is not publicly accessible.
Wholesale pricing is not indexed by search engines.
Wholesale pricing is not visible through search engine results, shopping feeds, APIs, cached pages, or other publicly accessible sources.
Discounted pricing is available only to authenticated wholesale customers.
8.5 Circumvention Prohibited
Customer shall not circumvent these restrictions by:
Selling through affiliated companies;
Selling through subsidiaries;
Selling through agents;
Selling through brokers;
Selling through third-party fulfillment providers;
Selling through dropshipping arrangements;
Allowing another party to sell Customer's inventory on prohibited marketplaces; or
Any other arrangement intended to avoid these Terms.
8.6 Downstream Sales
Customer shall not knowingly sell Trunwell products to any person or business that Customer knows, or reasonably should know, intends to resell such products through prohibited online marketplaces.
8.7 Monitoring
Trunwell, Inc. reserves the right to monitor online listings, websites, marketplaces, and other sales channels to verify compliance.
Trunwell may conduct anonymous or test purchases for enforcement purposes.
Customer agrees to cooperate with reasonable requests for information concerning its sales channels.
8.8 Violations
Violation of this Online Sales Policy constitutes a material breach of these Terms.
Trunwell, Inc. may immediately:
Suspend shipments;
Cancel pending orders;
Revoke wholesale pricing;
Terminate Customer's account;
Remove Customer from any authorized reseller program;
Refuse future sales; and
Pursue any legal or equitable remedies available.
9. Intellectual Property
Customer shall not alter, remove, obscure, or misuse any trademarks, logos, product names, copyrights, packaging, manuals, labels, or other intellectual property belonging to Trunwell, Inc.
10. Limitation of Liability
To the fullest extent permitted by law, Trunwell, Inc. shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, business interruption, or loss of goodwill.
Trunwell's maximum liability shall not exceed the purchase price of the affected products.
11. Force Majeure
Trunwell, Inc. shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, transportation interruptions, supplier shortages, governmental actions, pandemics, wars, or other force majeure events.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which Trunwell, Inc. is incorporated or maintains its principal place of business, without regard to conflict of law principles.
13. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. No Waiver
Failure by Trunwell, Inc. to enforce any provision of these Terms shall not constitute a waiver of any future enforcement.
15. Entire Agreement
These Terms constitute the entire agreement between Trunwell, Inc. and Customer concerning the purchase and resale of products and supersede all prior oral or written agreements relating to such subject matter.
16. Acceptance
By placing an order, creating an account, submitting payment, or purchasing products from Trunwell, Inc., Customer acknowledges that it has read, understood, and agrees to be bound by these Terms and Conditions of Sale.
California Sales
Trunwell, Inc. does not sell or ship products directly to customers located in the State of California.
If Customer elects to sell, distribute, or otherwise make Trunwell products available within California, Customer assumes sole responsibility for ensuring compliance with all applicable California laws and regulations, including, without limitation, Proposition 65 warning requirements, labeling requirements, packaging requirements, registration requirements, reporting obligations, and any other applicable legal requirements.
Customer shall indemnify, defend, and hold harmless Trunwell, Inc. from any claims, fines, penalties, damages, liabilities, costs, and attorneys' fees arising from Customer's distribution or sale of products within California.
California Sales Restriction and Proposition 65
Trunwell, Inc. does not sell or ship products directly to customers located in the State of California.
Customer acknowledges and agrees that it is solely responsible for determining whether any products purchased from Trunwell, Inc. will be offered for sale, distributed, or otherwise made available within the State of California.
If Customer sells, distributes, or otherwise makes any Trunwell product available in California, Customer shall be solely responsible, at its own expense, for ensuring that such products fully comply with all applicable federal, state, and local laws and regulations, including, without limitation, California's Safe Drinking Water and Toxic Enforcement Act of 1986 (Proposition 65), all applicable labeling, packaging, warning, registration, reporting, and disclosure requirements, and any amendments thereto.
Customer shall defend, indemnify, and hold harmless Trunwell, Inc., its officers, directors, employees, and affiliates from and against any and all claims, demands, actions, liabilities, penalties, fines, costs, expenses, and attorneys' fees arising out of or relating to Customer's sale, distribution, or marketing of Trunwell products in California or Customer's failure to comply with California law.
